These Terms govern your use of Ægent (the "Service"). By creating an account or using the Service you agree to these Terms.

1. Your account

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@aegent.ai of any unauthorized use.

2. Acceptable use

You agree not to:

Upload content you do not have the right to upload (including third-party recordings without consent)
Use the Service to harass, defame, or violate the rights of others
Reverse-engineer, scrape at scale, or interfere with the operation of the Service
Use the Service to compete directly with us by training a competing product

3. Recording and consent

If you record meetings via the Service, you are responsible for obtaining all necessary consents from participants under applicable law (which varies by jurisdiction — many require all-party consent). We provide the tooling; the legal obligation rests with you.

4. Intellectual property

Your content stays yours. You retain all rights to deal data, transcripts, recordings, and notes you create or upload. You grant us a limited license to process this content solely to provide the Service.

The Service itself — software, design, brand — is our intellectual property and is not transferred to you.

5. Subscriptions and billing

Paid plans are billed in advance on a recurring basis (monthly or annual). Cancellations take effect at the end of the current billing period. We do not offer pro-rated refunds for unused time except where required by law.

6. Service availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and unforeseen outages may occur. The Service is provided "as is" without warranty of any kind.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or related to these Terms or the Service is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these Terms or applicable law. On termination, your data will be deleted per the retention schedule in our Privacy Policy.

9. Governing law

These Terms are governed by the laws of the jurisdiction in which Ægent is incorporated. Disputes will be resolved in the courts of that jurisdiction. Specifics will be filled in once entity formation is complete.

10. Changes

We may update these Terms. Material changes will be communicated by email and the "Last updated" date above will reflect the change. Continued use after notice constitutes acceptance.
